Kidozi provides an online B2B platform for the purchase and sale of children's apparel and related products (0-24 months).

Our Services include:

• Online ordering and purchasing
• Order tracking and management
• Customer support
• Return and exchange processing
• Invoice and billing services

Kidozi reserves the right to modify, suspend, or discontinue any aspect of the Services at any time without notice or liability.

To use our Services, you must meet the following requirements:

• Be at least 18 years old
• Be a registered business entity (for B2B purchases)
• Have a valid business license or registration
• Have valid GST/Tax ID (for applicable jurisdictions)
• Not be a reseller for prohibited purposes
• Comply with all applicable laws and regulations

By using our Services, you represent and warrant that you meet all eligibility requirements.

You agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your password
• Update your information as needed
• Accept responsibility for all activities under your account

You are responsible for safeguarding your login credentials. Kidozi is not liable for any unauthorized access to your account. If you suspect unauthorized access, notify us immediately.

We reserve the right to terminate or suspend your account if:

• You violate these Terms and Conditions
• You provide false or misleading information
• You engage in fraudulent activities
• We determine your account poses a risk to our Services

All content on the Kidozi website and Services, including but not limited to text, images, logos, graphics, and software, is owned by Kidozi or its licensors and is protected by international copyright laws.

You may not:

• Reproduce, distribute, or transmit content without permission
• Modify or create derivative works
• Use content for commercial purposes
• Remove copyright or proprietary notices

By submitting content to Kidozi (reviews, feedback, images), you:

• Grant us a worldwide, royalty-free license to use, display, and distribute your content
• Represent that you own or have rights to the content
• Warrant that the content does not infringe on third-party rights
• Agree to indemnify us for claims related to your content

We may remove any user content that violates these Terms or is inappropriate.

You agree not to:

• Use the Services for illegal purposes or in violation of any laws
• Harass, abuse, or threaten other users
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Disrupt or interfere with the Services
• Engage in price fixing or monopolistic practices

All orders are subject to acceptance by Kidozi. We reserve the right to refuse or cancel any order.

• Invoice-based credit (as approved)

All payments are processed through secure, encrypted channels. Kidozi does not store complete payment information on our servers.

Invoices are issued upon order confirmation. You are responsible for maintaining records of your invoices and payments.

• Delivery timelines are estimates and not guarantees
• Risk of loss transfers to you upon delivery
• You are responsible for inspecting shipments upon receipt
• Report damage or discrepancies within 48 hours

Kidozi is not liable for delays caused by:

• Weather conditions or natural disasters
• Courier or logistics provider issues
• Customs or regulatory delays (international)
• Force majeure events

For international orders, you are responsible for:

• Customs duties and taxes
• Import regulations compliance
• Proper import documentation

Limited Warranty: Kidozi warrants that all products are:

• Manufactured to industry standards
• Free from defects in materials and workmanship
• Properly packaged for shipment
• As described in our product listings

Warranty Duration: The limited warranty covers defects for 30 days from delivery.

Exclusions: This warranty does not cover:

• Normal wear and tear
• Improper use or care
• Damage from accidents or mishandling
• Washing or cleaning damage
• Modifications to the product

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Kidozi shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for the specific product or service
• We are not liable for third-party actions or content
• We are not liable for loss of profits, data, or business interruption

You agree to indemnify, defend, and hold harmless Kidozi and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your violation of these Terms and Conditions
• Your violation of any laws or regulations
• Your violation of third-party rights
• Your use of our Services
• Content you submit or create

We may terminate or suspend your access if:

• You breach these Terms and Conditions
• You engage in illegal activities
• You pose a risk to our business or other users
• We determine termination is necessary

Termination Effects: Upon termination, your access to the Services will be revoked immediately. Outstanding obligations remain in effect.

Kidozi reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website.

Your continued use of the Services after modifications constitutes acceptance of the updated Terms.

We will notify registered users of material changes via email or through our website.

Before pursuing any legal action, we encourage you to contact us to resolve disputes informally.

Any disputes shall be resolved in accordance with Indian law and jurisdiction of courts in Delhi, Mumbai, or Bangalore.

For B2B disputes exceeding ₹1,00,000, either party may initiate arbitration under the Arbitration and Conciliation Act, 1996.

These Terms and Conditions are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts in Delhi for any legal proceedings.
